These Terms of Service (“Terms”) govern your access to and use of Bid Stack (the “App”), provided by [Your Company Name] (“we,” “us,” or “our”).

By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Description of the App

Bid Stack is an estimating and project documentation app for contractors, estimators, repair professionals, and service businesses.

The App may include features for:

  • Price book items
  • Calendar appointments and reminders
  • Itemized estimates
  • PDF estimate generation
  • AR room scanning

  • USDZ, JSON, PDF, or other file export and sharing

2. Eligibility and Business Use

The App is intended for adults and business or professional users. By using the App, you represent that you are legally able to agree to these Terms and that you will use the App only in compliance with applicable laws.

3. Not Professional Advice

The App is a productivity, estimating, documentation, and measurement-assistance tool.

The App does not provide legal, financial, tax, insurance, architectural, engineering, structural, code-compliance, safety, construction, or professional trade advice.

You are responsible for verifying all information before relying on it, including:

  • Measurements
  • Floor plans
  • 3D models
  • AI-generated suggestions
  • Labor costs
  • Material costs
  • Scope of work
  • Taxes
  • Markups
  • Permit requirements
  • Code requirements
  • Safety requirements
  • Licensing requirements
  • Final customer-facing estimates

You should consult qualified professionals where appropriate.

4. Estimates and Customer Documents

You are solely responsible for the accuracy, completeness, legality, and suitability of all estimates, PDFs, proposals, bids, scopes, prices, customer communications, and project documents created with the App.

You agree to review all estimate content before sending it to a customer or relying on it for business decisions.

5. AI-Generated Suggestions

If you use AI photo analysis, the App may generate draft repair suggestions, descriptions, categories, confidence labels, cost estimates, and line items.

AI-generated suggestions may be inaccurate, incomplete, outdated, or unsuitable for a particular job. AI may fail to detect hidden damage, hazardous conditions, structural concerns, code issues, or site-specific requirements.

You are solely responsible for reviewing, editing, approving, rejecting, or deleting AI-generated content before using it.

6. AR, LiDAR, Room Scans, Floor Plans, and Measurements

The App may allow you to use camera, AR, and LiDAR-supported features to scan rooms, capture room geometry, create floor plans, measure areas, save measurement notes, and export 3D models.

You acknowledge and agree that:

  • Measurements may be approximate.
  • AR, LiDAR, and RoomPlan results may contain errors.
  • Floor plans and models may not be construction-grade or code-compliant.
  • Results may vary based on lighting, device hardware, room contents, reflective surfaces, occlusions, user movement, and other conditions.
  • You must verify all measurements and plans before relying on them.
  • The App should not be used as the sole basis for structural, safety, legal, or construction decisions.

7. Permission to Scan, Photograph, and Measure Property

You are responsible for obtaining all necessary permissions before scanning, photographing, measuring, modeling, exporting, or sharing information about any home, business, room, job site, or property.

You may not use the App to violate privacy rights, property rights, lease terms, workplace policies, confidentiality agreements, or applicable laws.

8. User Content

“User Content” includes any information, images, photos, scans, measurements, floor plans, 3D models, notes, customer data, estimate data, pricing data, PDFs, or files you create, import, upload, scan, save, export, or share using the App.

You retain ownership of your User Content.

You grant us and our service providers a limited, non-exclusive right to process User Content only as needed to provide App functionality, operate backend services, troubleshoot issues, and comply with legal obligations.

You represent that you have all rights and permissions necessary to use User Content with the App.

9. Customer Data

You may enter or import customer information into the App, including names, phone numbers, emails, addresses, project details, photos, scans, models, estimates, and notes.

You are responsible for:

  • Getting appropriate customer permission
  • Protecting customer information
  • Using customer information lawfully
  • Complying with applicable privacy, consumer protection, and business laws
  • Responding to customer requests related to their information when required by law

10. App Permissions

The App may request access to device features such as Contacts, Camera, Photo Library, Calendar, ARKit, LiDAR-supported scanning, and local file storage.

These permissions are used to provide App functionality. You may manage permissions in your device settings, but some features may not work if permissions are denied or revoked.

11. Third-Party Services

The App may rely on third-party services and Apple system frameworks, including Contacts, Calendar, Camera, Photo Library, ARKit, RoomPlan, Quick Look, local storage, OpenAI, Cloudflare, or other providers.

We are not responsible for third-party service outages, changes, errors, availability, accuracy, or data practices. Third-party services may be subject to their own terms and privacy policies.

12. Accounts, Subscriptions, and Payments

The current version of the App may not require an account or paid subscription.

If paid features, subscriptions, cloud sync, or in-app purchases are added later, additional terms may apply and will be disclosed before purchase.

App Store payments, refunds, and subscriptions are handled by Apple and may be subject to Apple’s terms.

13. Acceptable Use

You agree not to:

  • Use the App for unlawful, harmful, deceptive, or abusive purposes
  • Upload, scan, process, or share content you do not have permission to use
  • Misrepresent estimates, credentials, prices, services, or work scope
  • Use the App to invade privacy or collect unauthorized property information
  • Use AI outputs without appropriate professional review
  • Interfere with or disrupt the App or backend services
  • Attempt to reverse engineer, scrape, attack, or misuse the App or APIs
  • Circumvent security, access controls, or usage limits
  • Upload malicious code or harmful content
  • Violate intellectual property, privacy, property, or contractual rights

14. Data Backup

You are responsible for backing up important business records, customer information, estimates, PDFs, scans, measurements, floor plans, 3D models, and exported files.

We are not responsible for data loss caused by device loss, app deletion, user deletion, operating system updates, storage failure, corrupted files, sync errors, or other events outside our control.

15. Ownership and Intellectual Property

The App, including its design, code, branding, logos, graphics, features, and software, is owned by us or our licensors and is protected by intellectual property laws.

You may use the App only as permitted by these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from the App except as allowed by law.

16. Feedback

If you send ideas, suggestions, bug reports, or feedback, you grant us permission to use them without restriction or compensation.

17. Availability and Changes

We may update, modify, suspend, discontinue, or limit the App or any feature at any time.

We do not guarantee that the App will always be available, error-free, secure, accurate, compatible with every device, or compatible with every operating system version.

Some features require supported hardware, such as LiDAR-capable devices, and may not be available on all devices.

18. Disclaimer of Warranties

The App is provided “as is” and “as available.”

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and compatibility.

We do not warrant that:

  • Estimates will be accurate
  • Measurements will be exact
  • Floor plans will be complete
  • 3D models will be accurate
  • AI suggestions will be correct
  • PDF documents will satisfy legal or business requirements
  • Data will never be lost
  • The App will be uninterrupted or error-free
  • AR, LiDAR, or scanning features will work in all environments

19. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost customers, lost data, property damage, customer disputes, estimate errors, measurement errors, project losses, personal injury, or job losses arising from or related to your use of the App.

Our total liability for any claim related to the App will not exceed the greater of:

  • The amount you paid to use the App in the three months before the claim, or
  • $50

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless [Your Company Name], its owners, employees, contractors, affiliates, and service providers from any claims, damages, liabilities, losses, costs, or expenses arising from or related to:

  • Your use of the App
  • Your estimates, bids, PDFs, proposals, or customer communications
  • Your customer data
  • Your photos, scans, floor plans, measurements, or 3D models
  • Your violation of property rights, privacy rights, or laws
  • Your reliance on AI-generated suggestions
  • Your reliance on measurements, floor plans, or models
  • Your violation of these Terms
  • Your violation of any third-party right

21. Termination

We may suspend or terminate access to the App or related services if you violate these Terms, misuse the App, create legal risk, or interfere with the App’s operation.

You may stop using the App at any time.

22. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless applicable law requires otherwise.

23. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may notify users through the App, App Store listing, website, or other reasonable means.

Your continued use of the App after updated Terms become effective means you accept the updated Terms.
